1. Acceptance of these Terms

These Terms of Use (“Terms”) are an agreement between you and Meritwright LLC (“Meritwright,” “we,” “us,” or “our”), a Texas limited liability company. By accessing or using Meritwright.com and its pages, content, and features (the “Site”), you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Site.

2. Website purpose

The Site is Meritwright’s corporate and product-information hub. It provides general information about Meritwright, its capabilities, leadership, divisions, products, development activities, and ways to contact the company. Unless expressly stated in a separate written agreement, the Site does not itself create a client, customer, fiduciary, professional-services, or advisory relationship.

3. Eligibility and permitted use

You may use the Site for lawful, personal, informational, or legitimate business purposes consistent with these Terms. If you are not old enough to enter a binding agreement where you live, you may use the Site only with the involvement of a parent or legal guardian who accepts these Terms on your behalf.

Meritwright grants you a limited, revocable, nonexclusive, nontransferable permission to access and view the Site for those purposes. This permission does not transfer ownership of any Site content or intellectual property.

4. Prohibited conduct

You may not:

  • use the Site for unlawful, fraudulent, or abusive activity;
  • interfere with the Site, its infrastructure, security measures, availability, or another person’s use of the Site;
  • attempt to gain unauthorized access to systems, accounts, networks, source files, or nonpublic information;
  • introduce malicious code, conduct unauthorized vulnerability testing, or attempt to bypass rate limits or security controls;
  • impersonate Meritwright or another person or misrepresent an affiliation, endorsement, or authorization;
  • copy, republish, redistribute, sell, sublicense, or commercially exploit Site content except with written permission or as allowed by applicable law;
  • use automated means to scrape, harvest, or systematically extract Site content or data, except for ordinary search-engine indexing consistent with the Site’s robots instructions or with written permission; or
  • reverse engineer, decompile, or attempt to derive nonpublic source code or protected technical information from the Site, except to the limited extent a restriction is prohibited by applicable law.

5. Intellectual property and brand rights

The Site and its original content, organization, software, code, graphics, artwork, documentation, designs, text, photographs, product presentations, and other materials are owned by Meritwright LLC or used with permission and are protected by applicable intellectual-property laws.

The Meritwright name, Meritwright emblem, Meritwright branding, Meritwright Solutions, Meritwright Education, Meritwright Interactive, Meritwright Contracting, Meritwright Properties, Meritwright Goods, Meritwright Labs, Meritwright Ventures, Norivault, Meritwright Vault, Vumeli, and other division, software, product, service, and program names may be trademarks, service marks, trade names, logos, or other brand identifiers of Meritwright LLC. Nothing on the Site grants a license to use those identifiers or suggests that any particular identifier is federally registered.

You may not use Meritwright branding in a way that is misleading, likely to cause confusion, or likely to imply sponsorship, affiliation, certification, or endorsement without prior written permission. All rights not expressly granted are reserved.

6. Third-party websites and services

The Site may link to websites, credential-verification services, certification issuers, marketplaces, purchasing providers, or other third parties. Those services are independent from Meritwright and may have their own terms and privacy practices. Meritwright does not control and is not responsible for third-party content, security, availability, products, or practices. A link does not by itself constitute endorsement.

7. Product-specific terms

Downloading, purchasing, licensing, accessing, or using a Meritwright software product, educational product, interactive product, subscription, or service may be subject to separate terms, including an end-user license agreement, software license, product terms, product privacy notice, refund policy, store or marketplace terms, support policy, or enterprise agreement.

These website Terms do not replace those agreements. If a separate agreement conflicts with these Terms for a particular product, transaction, or service, the separate agreement controls for that subject. A third-party store or marketplace may also impose terms independently of Meritwright.

8. No professional or regulated advice

Unless Meritwright expressly agrees otherwise in a separate written agreement, Site content is general information and does not constitute legal, medical, financial, tax, investment, benefits, claims, regulatory, compliance, cybersecurity, or other professional advice. You are responsible for evaluating information and seeking an appropriately qualified professional when advice is needed.

Information about veterans’ benefits or evidence readiness does not replace advice from an accredited representative, attorney, medical professional, or government agency and does not guarantee a claim, rating, eligibility determination, or other outcome.

9. Informational content and future plans

Meritwright works to present useful and accurate information, but Site content may contain errors, become outdated, or change without notice. Product names, images, descriptions, features, compatibility, platforms, status labels, release expectations, availability, and future capabilities are informational and do not create a promise, warranty, offer, or commitment to release or sell a product.

10. Government independence and non-endorsement

References to military service or government experience are provided solely as biographical context. Meritwright LLC is a private company and is not affiliated with, endorsed by, sponsored by, or acting on behalf of the U.S. Army, the U.S. Department of Defense, the U.S. Department of Veterans Affairs, or any other government agency. Meritwright’s views, products, services, and commercial activities do not represent official government positions.

11. Website availability and changes

Meritwright may update, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee uninterrupted access, compatibility with every device, or that every link or feature will remain available. Maintenance, third-party outages, security events, and circumstances outside Meritwright’s control may affect access.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. Meritwright disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Meritwright does not warrant that the Site will be uninterrupted, error-free, completely secure, or free from harmful components. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Meritwright LLC and its members, managers, personnel, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or business opportunity, arising from or related to the Site, third-party links, or reliance on Site content. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Meritwright LLC and its members, managers, personnel, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, violation of these Terms, or infringement of another person’s rights.

15. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except where applicable law requires otherwise. These Terms do not include a mandatory arbitration clause, class-action waiver, or mandatory venue provision.

16. Severability and waiver

If a court with appropriate authority finds a provision of these Terms unenforceable, that provision will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

17. Changes to these Terms

Meritwright may revise these Terms as the Site, company, products, or legal requirements change. The “Last Updated” date will identify the current version. Continued use of the Site after updated Terms are published constitutes acceptance to the extent permitted by law.
